By accessing our website, using our services, requesting a quotation, purchasing a service, subscribing to a product, or using any Solution Clime platform, including SEO Pilot, you agree to be bound by these Terms & Conditions. If you do not agree, please do not use our website, services, or products.

  1. Scope of Services

Solution Clime provides technology and digital services, including but not limited to:

  1. Custom software development, including ERP, CRM, HRM, SaaS platforms, APIs, and business systems.
    b. Mobile app development, including native Android, native iOS, Flutter, React Native, deployment, testing, and maintenance.
    c. Website development, including corporate websites, WordPress, eCommerce, landing pages, redesign, CMS, and website maintenance.
    d. SEO services, including technical SEO audits, keyword research, on-page SEO, local SEO, eCommerce SEO, link building, analytics, and reporting.
    e. Cloud solutions, including cloud migration, cloud architecture, DevOps, CI/CD, infrastructure management, monitoring, security configuration, and cost optimization.
    f. IT and business technology consultancy, including digital transformation, IT roadmapping, architecture advisory, project management, vendor selection, and risk assessment.
    g. SaaS and AI-powered products, including SEO Pilot and any future products released by Solution Clime.
    h. Pre-built digital products and business systems listed on our website.

The exact scope, timeline, deliverables, payment terms, responsibilities, support period, and other project-specific terms will be defined in a separate proposal, quotation, invoice, agreement, subscription plan, or Statement of Work.

  1. Service Agreement
  2. Our services are provided based on the agreed scope between Solution Clime and the client.
    b. Any custom project, consultancy engagement, maintenance package, or subscription may require a separate written agreement, quotation, proposal, invoice, or Statement of Work.
    c. Unless expressly agreed in writing, any estimate, timeline, feature list, or delivery date is an estimate only and may change due to project complexity, client feedback delays, third-party dependencies, technical limitations, or changes in requirements.
    d. Solution Clime will use reasonable professional skill and care to provide quality services; however, we do not guarantee specific commercial, technical, ranking, revenue, traffic, approval, or business results unless expressly stated in writing.
    e. Services are provided on an “as is” and “as available” basis, subject to the terms of the applicable agreement.
  3. Client Responsibilities

You agree to:

  1. Provide accurate, complete, and timely information required for the project or service.
    b. Provide access to relevant systems, hosting, domains, analytics tools, content management systems, APIs, app store accounts, payment gateways, or third-party platforms when required.
    c. Ensure that all content, images, text, trademarks, files, data, and materials you provide are lawful and that you have the right to use them.
    d. Review deliverables, provide feedback, and approve work within the agreed timeframe.
    e. Make payments on time according to the agreed invoice, contract, quotation, or subscription plan.
    f. Use our services, software, and platforms only for lawful purposes.
    g. Not use our services for fraud, spam, malware, phishing, hacking, unauthorized scraping, copyright infringement, misleading advertising, illegal SEO manipulation, or any activity prohibited under applicable law.

Delays caused by missing information, delayed approvals, third-party issues, or late payment may affect timelines and delivery dates.

  1. SEO Pilot SaaS Terms

SEO Pilot is an AI-powered SEO SaaS product offered by Solution Clime. By using SEO Pilot, you agree to the following additional terms:

  1. SEO Pilot may include features such as AI content generation, content planning, SEO audits, backlink marketplace or exchange features, backlink monitoring, analytics, multi-website management, WordPress publishing, and automated content scheduling.
    b. You are responsible for reviewing, editing, approving, and publishing any AI-generated content before use.
    c. AI-generated content may contain errors, outdated information, duplicated ideas, or content that requires human review. Solution Clime does not guarantee that AI-generated content will be accurate, original, legally compliant, or suitable for your business without review.
    d. SEO Pilot may integrate with third-party services such as Google Analytics, Google Search Console, WordPress, hosting platforms, payment gateways, email providers, or other APIs. Your use of those third-party services is also subject to their own terms and policies.
    e. You are responsible for ensuring that any website connected to SEO Pilot is owned by you or that you have proper authorization to connect and manage it.
    f. You must not use SEO Pilot for spam, harmful automation, deceptive backlink schemes, copyright infringement, misleading SEO practices, illegal content, malware, or unauthorized access to third-party systems.
    g. Backlink marketplace, exchange, monitoring, or outreach features depend on third-party websites, partners, external platforms, and user activity. We do not guarantee backlink placement, backlink permanence, ranking improvement, traffic growth, domain authority increase, or search engine results.
    h. Search engine algorithms, platform policies, rankings, indexing, and traffic performance are controlled by third parties. Solution Clime does not guarantee any specific ranking or SEO outcome.
    i. We may suspend or terminate SEO Pilot access if we detect abuse, illegal activity, excessive resource usage, payment failure, violation of these Terms, or activity that may harm Solution Clime, other users, or third parties.
  2. SEO and Digital Marketing Disclaimer
  3. SEO results vary depending on competition, website quality, content, technical condition, search engine updates, market demand, user behavior, backlink profile, and other factors outside our control.
    b. We may provide SEO strategies, audits, keyword research, link building guidance, reporting, and optimization services, but we do not guarantee first-page rankings, fixed traffic numbers, sales, leads, conversions, or revenue.
    c. We aim to follow ethical and sustainable SEO practices. However, search engines may update their algorithms or policies at any time, which may affect rankings and traffic.
    d. Any projections, reports, forecasts, or recommendations are for guidance only and should not be treated as guaranteed results.
  4. Software, Website, App, and Cloud Deliverables
  5. Deliverables may include source code, designs, websites, applications, APIs, documentation, configuration, deployment files, reports, or other project materials as described in the agreed scope.
    b. Unless otherwise agreed, work does not include unlimited revisions, ongoing maintenance, hosting fees, domain fees, third-party software fees, app store fees, paid plugins, paid themes, cloud provider fees, advertising budgets, API usage fees, or other external costs.
    c. App store approval, payment gateway approval, hosting performance, third-party API availability, search engine indexing, and external platform decisions are controlled by third parties and are not guaranteed by Solution Clime.
    d. Cloud, hosting, and server management services may depend on third-party providers such as AWS, Azure, Google Cloud, hosting companies, CDN providers, or domain registrars. Solution Clime is not responsible for outages, price changes, restrictions, or failures caused by third-party providers.
    e. Security measures may include secure coding, SSL configuration, backups, access control, encryption, updates, monitoring, and audits where included in the agreed scope. However, no system can be guaranteed to be completely secure.
  6. Revisions, Change Requests, and Additional Work
  7. The number of revisions, feedback rounds, and included changes will be stated in the applicable quotation, proposal, or agreement.
    b. Any work outside the agreed scope may be treated as a change request and may require additional fees and timeline adjustments.
    c. Examples of additional work include new features, design changes after approval, extra pages, new integrations, migration of additional data, major content changes, third-party troubleshooting, urgent fixes outside support hours, or work caused by changes in client requirements.
    d. Solution Clime may pause work until the client approves the revised scope, cost, and timeline.
  8. Payment Terms
  9. Fees, payment schedules, subscription charges, milestone payments, renewal fees, and service charges will be stated in the applicable quotation, invoice, agreement, plan, or Statement of Work.
    b. Payments must be made within the agreed timeframe.
    c. Failure to pay on time may result in suspension of work, suspension of access, withholding of deliverables, delay in delivery, late fees where applicable, or termination of services.
    d. For SaaS subscriptions, recurring payments may be charged according to the selected plan. Access may be suspended or terminated if payment fails or remains unpaid.
    e. All prices may be exclusive of taxes, VAT, payment gateway charges, bank charges, international transfer fees, currency conversion fees, or third-party charges unless expressly stated otherwise.
    f. The client is responsible for all applicable taxes, duties, withholding taxes, or government charges under applicable law.
    g. Payment methods may include bank transfer, mobile financial services, card payment, SSLCommerz, international payment gateway, or any other method accepted by Solution Clime.
  10. Refunds and Cancellation
  11. Refund eligibility, if any, will depend on the nature of the service, completed work, consumed subscription period, third-party costs, and the applicable quotation or agreement.
    b. Fees paid for completed milestones, delivered work, consultation, discovery, planning, design, development time, purchased third-party tools, hosting, domains, licenses, or setup costs are generally non-refundable.
    c. SaaS subscription fees are generally non-refundable once the billing period has started, unless required by applicable law or expressly stated in the selected plan.
    d. If a project is cancelled by the client after work has started, the client must pay for all work completed, time spent, third-party costs incurred, and approved milestones up to the cancellation date.
    e. Solution Clime may offer refunds, credits, or adjustments at its sole discretion where appropriate.
  12. Intellectual Property
  13. Solution Clime owns all intellectual property rights in its own brand assets, logos, website content, service materials, internal tools, frameworks, reusable code, templates, documentation, designs, systems, methods, know-how, and SaaS products, including SEO Pilot.
    b. You may not copy, modify, reverse engineer, reproduce, distribute, resell, license, or commercially exploit Solution Clime’s intellectual property without written permission.
    c. For custom client projects, ownership of final deliverables may transfer to the client only after full payment is received, subject to any separate agreement.
    d. Unless otherwise agreed, Solution Clime may retain ownership of pre-existing tools, libraries, reusable components, generic code, internal frameworks, development processes, and know-how used to create the deliverables.
    e. Third-party software, plugins, themes, frameworks, APIs, stock assets, fonts, libraries, and platforms remain subject to their respective licenses.
    f. You grant Solution Clime a limited right to use materials you provide solely for delivering the agreed services.
    g. Unless the client requests confidentiality in writing, Solution Clime may display completed work, client name, logo, screenshots, case studies, results, or project descriptions in its portfolio, website, social media, proposals, or marketing materials.
  14. User Content and Data
  15. You retain ownership of the content, data, files, images, text, business information, website data, analytics data, and other materials you provide.
    b. You are solely responsible for ensuring that your content does not violate any law, third-party right, copyright, trademark, privacy right, confidentiality obligation, or platform policy.
    c. You must not upload or submit harmful code, malware, illegal content, misleading content, spam, or content that violates the rights of others.
    d. Solution Clime may remove, restrict, or refuse to process content that we reasonably believe violates these Terms, applicable law, third-party rights, or platform policies.
  16. Confidentiality
  17. Both parties agree to keep confidential information private and use it only for the intended business purpose.
    b. Confidential information may include business plans, technical documents, source code, credentials, customer data, pricing, financial information, project details, strategies, designs, and non-public communications.
    c. Solution Clime will use reasonable measures to protect confidential information.
    d. Confidentiality obligations do not apply to information that is publicly available, already known, independently developed, received lawfully from another source, or required to be disclosed by law, court order, or government authority.
    e. The client is responsible for securely managing their own credentials, access permissions, internal users, and connected third-party accounts.
  18. Data Protection and Privacy
  19. Our collection and use of personal information is governed by our Privacy Policy.
    b. By using our website, services, or SaaS products, you agree that we may collect and process necessary information to provide services, manage accounts, process payments, provide support, improve our products, communicate with you, and comply with legal obligations.
    c. SaaS products and digital services may collect usage data, account information, website data, analytics data, connected platform data, billing information, technical logs, and support communications.
    d. We use reasonable technical and organizational measures to protect data, but no internet-based service, software, server, or storage system is completely secure.
    e. You are responsible for obtaining any required consent from your users, customers, employees, or website visitors before connecting their data to our services or platforms.
  20. Third-Party Services and Integrations
  21. Our services and products may rely on third-party tools, APIs, hosting providers, analytics platforms, payment gateways, content management systems, app stores, cloud providers, email services, SEO tools, AI providers, or other external systems.
    b. We are not responsible for third-party service outages, pricing changes, policy changes, data loss, account suspensions, API limitations, approval delays, security incidents, or feature changes.
    c. Your use of third-party services is governed by their own terms, privacy policies, and pricing.
    d. You authorize Solution Clime to access, configure, or use third-party services on your behalf where required for the agreed work.
  22. Acceptable Use

You must not use Solution Clime’s website, services, products, or platforms to:

  1. Violate any law, regulation, or court order.
    b. Infringe intellectual property, privacy, or contractual rights.
    c. Send spam, phishing messages, malware, or harmful code.
    d. Attempt unauthorized access to any system, account, server, API, or network.
    e. Scrape, copy, reverse engineer, or misuse our software, SaaS products, or website.
    f. Interfere with service performance, security, or availability.
    g. Use automation in a way that harms third parties or violates platform rules.
    h. Publish misleading, illegal, defamatory, hateful, harmful, or abusive content.
    i. Resell, sublicense, or commercially exploit our SaaS products without written permission.
    j. Use SEO Pilot or any Solution Clime tool for spam, deceptive backlink activity, illegal SEO practices, or unauthorized website manipulation.
  2. Account Access and Security
  3. You are responsible for maintaining the confidentiality of your login credentials, passwords, API keys, connected accounts, and account activity.
    b. You must notify us immediately if you suspect unauthorized access to your account or connected systems.
    c. We may suspend accounts where we reasonably suspect unauthorized use, abuse, payment failure, security risk, or violation of these Terms.
    d. Solution Clime is not responsible for losses caused by your failure to secure your account, devices, email, hosting, website, or third-party platform credentials.
  4. Support and Maintenance
  5. Support, maintenance, bug fixing, monitoring, backups, updates, and post-launch assistance are provided only if included in the agreed scope, support period, subscription plan, or maintenance package.
    b. Free support periods, where offered, apply only to bugs or issues directly related to the delivered scope and do not include new features, third-party changes, content updates, redesigns, server issues, malware cleanup, or issues caused by client modifications unless agreed otherwise.
    c. Ongoing maintenance may require a separate monthly, yearly, or custom agreement.
    d. Emergency support, after-hours work, urgent fixes, or high-priority requests may be subject to additional charges.
  6. Warranties and Disclaimers
  7. Solution Clime will use reasonable care and skill in providing services.
    b. Except as expressly stated in writing, we make no warranties regarding uninterrupted service, error-free operation, specific SEO rankings, traffic growth, revenue, sales, leads, conversion rates, app store approval, payment gateway approval, search engine indexing, security perfection, or compatibility with all future third-party updates.
    c. Our website, services, software, SaaS platforms, reports, recommendations, AI outputs, and digital products are provided on an “as is” and “as available” basis to the maximum extent permitted by law.
    d. Any business, technical, SEO, legal, financial, or strategic recommendation is provided for informational and operational purposes and should be independently reviewed where necessary.
  8. Limitation of Liability
  9. To the maximum extent permitted by applicable law, Solution Clime, its owners, employees, contractors, affiliates, and partners shall not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages.
    b. This includes loss of profit, loss of revenue, loss of business, loss of data, loss of goodwill, loss of rankings, loss of traffic, service interruption, third-party platform failure, or security breach not caused by our intentional misconduct.
    c. Our total liability for any claim related to a service, project, subscription, or product shall not exceed the amount paid by you to Solution Clime for the specific service or subscription giving rise to the claim during the three months immediately before the claim, unless a different limit is required by applicable law.
    d. Nothing in these Terms limits liability that cannot legally be excluded under applicable law.
  10. Indemnification

You agree to indemnify and hold harmless Solution Clime, its owners, employees, contractors, affiliates, and partners from any claims, losses, damages, liabilities, costs, or expenses arising from:

  1. Your breach of these Terms.
    b. Your misuse of our services, website, software, or SaaS products.
    c. Content, data, or materials you provide.
    d. Your violation of law or third-party rights.
    e. Your use of third-party services, platforms, APIs, hosting, analytics, payment gateways, or connected accounts.
    f. Any unauthorized or harmful activity conducted through your account or systems.
  2. Suspension and Termination
  3. Either party may terminate a service agreement according to the terms of the applicable contract, quotation, proposal, or Statement of Work.
    b. Either party may terminate the agreement upon written notice if the other party materially breaches the terms and fails to remedy the breach within a reasonable timeframe.
    c. Solution Clime may suspend or terminate access immediately if you fail to pay, violate these Terms, misuse our services, create security risks, engage in illegal activity, or cause harm to Solution Clime, other users, or third parties.
    d. Upon termination, you must stop using our services, software, SaaS products, confidential information, and any materials not owned by you.
    e. Any unpaid fees, completed work charges, third-party costs, and obligations that should reasonably survive termination shall remain payable.
    f. Clauses relating to payment, intellectual property, confidentiality, limitation of liability, indemnification, governing law, and dispute resolution shall survive termination.
  4. Amendments and Updates
  5. Solution Clime may update or modify these Terms & Conditions from time to time.
    b. Updates may be posted on our website or communicated by email where appropriate.
    c. Continued use of our website, services, software, or SaaS products after changes are posted means you accept the updated Terms.
    d. For project-specific agreements, if there is a conflict between these Terms and a signed written agreement, the signed written agreement will prevail for that specific project.
  6. Force Majeure

Solution Clime shall not be responsible for delay or failure to perform due to events beyond our reasonable control, including natural disasters, internet outages, power failures, cyberattacks, strikes, war, political unrest, government actions, pandemics, payment gateway issues, third-party service failure, cloud provider outages, or other events outside our control.

  1. Governing Law and Jurisdiction

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of the People’s Republic of Bangladesh.

Any dispute arising out of or relating to these Terms, our services, website, software, SaaS products, invoices, agreements, or business relationship shall be subject to the exclusive jurisdiction of the competent courts of Chattogram, Bangladesh, unless otherwise required by applicable law or agreed in writing.
